Terms of Service

1. Acceptance of Terms

By accessing or using Miuda.ai services ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms apply to all users of the Service, including without limitation users who are customers, administrators, or contributors of content.

2. Description of Service

Miuda.ai provides an AI-native PBX and communication platform ("Service") including but not limited to:

• Enterprise PBX licensing and management
• VoIP Wholesale call routing services
• Call Center AI solution licensing
• License key management and authentication APIs
• Technical documentation and support

3. Account Registration

To access certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current and complete registration information
• Maintain and promptly update your account information
• Keep your account credentials secure and confidential
• Notify us immediately of any unauthorized access to your account
• Be responsible for all activity that occurs under your account

4. License Terms

Subject to your compliance with these Terms and payment of applicable fees, Miuda.ai grants you a limited, non-exclusive, non-transferable license to:

• Install and use the software associated with your purchased plan on the authorized number of systems
• Access the Service APIs within the rate limits of your plan
• Use the license key for the duration specified in your subscription

You may not sublicense, sell, resell, transfer, assign, or otherwise dispose of any license granted herein without prior written consent from Miuda.ai.

5. Free Trial

Miuda.ai may offer a free trial period for eligible plans. The following conditions apply to free trials:

• Each account is entitled to one free trial per eligible plan
• Trial licenses are valid for the period specified at the time of activation
• Trial licenses may have usage limitations compared to paid licenses
• At the end of the trial period, continued use requires purchasing a subscription
• Miuda.ai reserves the right to modify or terminate trial offerings at any time

6. Payment and Billing

For paid plans, the following terms apply:

• Fees are charged in advance for the subscription period
• All fees are in US dollars unless otherwise stated
• Payment is processed via PayPal or other approved payment methods
• Subscriptions automatically renew unless cancelled before the renewal date
• Refunds are subject to our refund policy described in Section 7

7. Refund Policy

Refund requests are evaluated on a case-by-case basis. Generally:

• Refunds may be requested within 7 days of purchase for annual plans
• Monthly subscriptions are non-refundable once the billing period has started
• Trial abuse or violation of these Terms will disqualify you from receiving a refund
• Refunds are processed within 10 business days

8. Acceptable Use

You agree not to use the Service to:

• Transmit spam, unsolicited communications, or bulk messaging
• Conduct illegal voice calls, robocalling, or telecommunications fraud
• Violate any applicable local, state, national, or international law or regulation
• Reverse engineer, decompile, or disassemble any part of the Service
• Attempt to gain unauthorized access to any portion of the Service
• Interfere with or disrupt the integrity or performance of the Service
• Circumvent license key restrictions or share license keys with unauthorized users

9. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Miuda.ai and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Miuda.ai.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Miuda.ai shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your use or inability to use the Service
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from the Service
• Any bugs, viruses, or the like that may be transmitted through the Service

11. Termination

Miuda.ai may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

12. Changes to Terms

We reserve the right to modify or replace these Terms at any time. We will provide notice of significant changes by updating the date at the top of this page or by sending an email notification. Your continued use of the Service after any changes constitutes your acceptance of the new Terms.
